As company incorporation agents our experience and relationship with the Registry of Corporate Affairs in the British Virgin Islands means we can obtain company reports, copies of official documents held by the registry on any registered IBC.
Under the BVI Business Companies Act 2004 companies are not required to file accounts, details of directors, shareholders, register of charges or an annual return with the BVI Registrar of Corporate Affairs.
Confidentiality of company documents is one of the key attractions of incorporating in the BVI.
In the BVI a company directors is required to maintain records "sufficient to show and explain the company's transactions" and which "will, at any time, enable the financial position of the company to be determined with reasonable accuracy".
The contents of a BVI company search report will include:

Ø Date of Incorporation
Ø Company Type: private, plc, nfp
Ø Current Legal Status: in Good Standing, Struck Off
Ø Type of Incorporation - Re-registration, New incorporation

Ø Bearer Shares - if the company has ability to issue Bearer Shares
Ø Class of Shares
Ø Number of Shares Issued
Ø Registered Agent
Ø Registered Office Address
Ø Last licence fee payment
Ø Register of Mortgages/Charges filed at the BVI Registry (if filed at the Registry)
Ø Register of Directors (if filed at the Registry)
Ø Register of Members (if filed at the Registry)
Ø The date if struck off (if applicable)
Ø List of company filings - including date, transaction number, description of filing, status, general filing
Ø Certificate History - including type of certificate, transaction number and date of filing
Register of Charges, whilst no requirement to file in practice they may be available. (a company often files details of charges as the lender normally requires it.)

We can supply a Certificate of Good Standing from the Registrar of Corporate affairs certifying that the company is in Good Standing.
The certificate resembles the Certificate of Incorporation and is required to formally confirm the companies continued legal existence, it also confirms that all administrative requirements have been complied with.
The Certificate of Good Standing will not be issued if there are overdue fees or penalties due and the status will need to be restored.
We can obtain certified copies of official company documents direct from the registry for any BVI company provided the company is in Good Standing.

A certified document is where the Registry of Corporate Affairs stamps the document to verify its authenticity.
Timescale: 2 - 4 business days
A certificate is issued by the Deputy Governor's Office, Registrar of Courts, which certifies the authenticity of the document.
The following documents are complete with certification (legalisation) from the Deputy Governor's Office
ü Certificate of Good Standing
ü Certified copy of Memorandum and Articles of Association
ü Certified copy of Certificate of Incorporation
This involves the addition of a certificate attached to the document which certifies:
ü Country of origin of the document
ü Name and identity of the signature - capacity in which a document has been signed
ü Official seal - Name of authority which has affixed a seal or stamp to the document
ü Place, date and document number
Timescale: 10 - 14 business days
A copy of the publicly available historical corporate documents for the company from the official registry.
A BVI company is required to maintain certain records and documents at the office of its Registered Agent, however, there is no public right to inspect these documents:
ü Register of Directors
ü Register of Shareholders
ü Copies of all notices and documents filed with the Registrar of Corporate Affairs in the previous ten years
A company must also keep other documents including:
ü Minutes of members' and directors' meetings and copies of resolutions; and
ü Financial records sufficient to show and explain the company's transactions
The BVI Registry of Corporate Affairs is the regulatory authority for all financial services and businesses operating in the BVI, regulated by the Business Companies Act 2004
There is a fee of US$100 if for any reason a service cannot be carried out for example the company is not registered in the BVI or the company is not in good standing.
