Types of French companies

Under the French law, legal structures can be registered as individual operators or as commercial companies. Detailed below are some of the most important business structures that can be incorporated in France.

The French limited liability company (SARL) is formed by at least two individuals or corporate bodies and its minimum share capital consists of 1 EUR. The initial capital is decided by its members in the articles of association. The responsibilities of its members are limited by their contribution to the capital and the management is assured by one or more individuals, called director(s). 

The French joint stock company (SA) can be formed by more members, out of which one has to be an individual. There is a requirement for a minimum share capital of 37,000 EUR (half of it must be deposited at registration). The management is assured by a board of directors. There is an obligation to appoint a statutory auditor.

The French simplified joint stock company (SAS) is formed by at least one member with no minimum share capital. The management of such company is assured by at least one director and the articles of association may require the formation of a board of directors.

The French single-member limited liability company (EURL) has a similar structure and attributes of the SARL, but it requires only a single member for incorporation. There are no requirements for a minimum share capital, but its assets are not protected in case the company has outstanding debts.

Company registration in France

The first step for registering a French company is the verification of the chosen name. If the name can be used, a bank account needs to be opened in the name of the company and the initial capital for the company must be deposited.

All the necessary documents for company registration in France are submitted at the French Center for Business Formalities (CFE).

There are several business organization overseeing bodies within the CFE and the registration of a new French company must be made at the appropriate body, according to the type of business: 

- commercial companies with no artisan activities must register at the Chamber of Commerce and Industry;

- artisans and companies with activities that combine different crafts and commerce need to register at the Chamber of Trade and Artisan;

- commercial agents, companies of regulated professionals and non-trading companies must register at the Registry of Commerce.

Any new company in France is given a business registration number, a SIRET number (with 14 digits) which also contains the company’s SIREN number (the first 9 digits of the SIRET number). An APE code is also given to any company: it is a five figure code that identifies the business activity.
