Directors Requirements

Ø Directors may be of any nationality and may reside anywhere

Ø Only one director is required

Ø There is no requirement to appoint a local resident director

Ø Directors need professional qualifications.

Ø The director can be a person or a corporation

Shareholders Requirements

Ø Shareholders may be of any nationality and may reside anywhere

Ø Only one shareholder is required. This can be the same person as the director

Ø Nominee shareholders are allowed. Formacompany can provide this service

Power of Attorney

It is not a requirement to visit Belgium because it is possible to be represented by another person. A power of attorney certified with an Apostille or a Legalisation by a foreign notary must be used for this purpose. Formacompany can represent you as founder and/or shareholder before the notary at your request

Belgium Financial Plan

To incorporate a Belgium company a financial plan is required, we can assist in the drawing up of your financial plan.

This needs to include the following:

Ø Setting up of the accounting system and initial parameter setting

Ø Drawing up of the accounting plan

Ø Classification and entry of the accounting documents

Ø Description and justification of the amount of the initial capital

Ø Show the initial capital will cover the operations of the company for at least the first two years
